The above list of prohibited activities is illustrative rather than comprehensive. data-room.co.uk reserves the right, at its sole discretion, to determine whether any usage violates these TOU.

  1. USER GENERATED CONTENT

By submitting Contributor Material on the Site, you retain any ownership rights but grant data-room.co.uk a global, perpetual, irrevocable, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, modify, display, and otherwise exploit such materials in any medium or format. This license covers future rights and new methods of exploitation as allowed by law. You also grant Site users a non-exclusive license to access and utilize your Contributor Material as permitted by these TOU. data-room.co.uk reserves the right to remove or reject any user-generated content that it deems to violate these TOU or that it finds unlawful or objectionable.

  1. YOUR ACTIVITIES

4.1. For any Contributor Material you submit, you agree not to:

(a) Provide any content that is under copyright or subject to trade secrets or other third-party intellectual property or proprietary rights, including privacy and publicity rights, unless you own or have lawful permission to submit such content and grant all licenses outlined herein to data-room.co.uk;

(b) Upload, post, or otherwise transmit any content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of privacy, hateful, or racially, ethnically, or otherwise objectionable;

(c) Upload, post, or otherwise transmit any unsolicited or unauthorized promotional content, including but not limited to “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any form of solicitation; or upload, post, or otherwise transmit material containing viruses or code designed to interrupt, destroy, or limit the functionality of any software, hardware, or telecommunications device.

4.2. You understand and agree that data-room.co.uk is not obligated to monitor Contributor Material or remove any of it and has sole discretion to decide whether any Contributor Material breaches these TOU.

The Site may provide links to External Resources for convenience. data-room.co.uk does not endorse, control, or assume responsibility for these external sites or resources. You agree that data-room.co.uk is not liable for any damage or loss arising from your use of such External Resources. Accessing or using linked content is at your own risk, and you are responsible for following the respective terms and privacy policies of those resources. Any dispute or claim arising from or in connection with these Terms shall be finally resolved through arbitration administered by the London Court of International Arbitration (LCIA) under the LCIA Rules, which are deemed to be incorporated by reference into this clause.

data-room.co.uk may, at its sole discretion and without prior notice, terminate or suspend your access to the Site and remove your Contributor Material if it believes you have violated these TOU. data-room.co.uk may also discontinue the Site or any of its parts at any time, without prior notice. You agree that any termination of your access to the Site may occur without warning and that data-room.co.uk shall bear no liability for barring any subsequent access. Additionally, data-room.co.uk shall not be liable to you or any third party for terminating your access to the Site.
